1. Introduction These Terms & Conditions (“Terms”) govern the submission of offers to purchase the domain names VintageAppliances.ca and RetroAppliances.ca(the “Domains”). By submitting an offer through the Submit an Offer form, you acknowledge that you have read, understood, and agree to be bound by these Terms. 2. Nature of Offers All offers submitted are: Non-binding Subject to review and acceptance by the Seller in their sole discretion Subject to change, rejection, or negotiation at any time The Seller is under no obligation to accept any offer, regardless of amount. 3. Offer Validity All offers remain valid for a period of 30 days unless otherwise specified by the Seller. The Seller reserves the right to: Accept, reject, or counter any offer Sell the Domains to another party at any time Withdraw the Domains from sale without notice 4. Acceptance and Binding Agreement An offer becomes binding only when: A formal Domain Name Sale and Ownership Transfer Agreement is executed by both parties Full payment has been received and cleared through escrow Until these conditions are met, no agreement shall be considered final or enforceable. 5. Purchase Price and Taxes All purchase prices are subject to agreement between Buyer and Seller Applicable taxes, including Canadian Harmonized Sales Tax (HST), may be added to the purchase price where required by law Any applicable taxes will be the responsibility of the Buyer unless otherwise agreed in writing. 6. Escrow and Payment All transactions will be completed through a third-party escrow service, such as Escrow.com. The Buyer is responsible for all escrow fees and domain transfer fees unless otherwise agreed The Seller is not responsible for any delays, disputes, or issues arising from the escrow service The transfer of the Domains will occur only upon confirmation of full payment by the escrow provider 7. Transfer of Ownership Upon completion of payment and execution of the Domain Name Sale and Ownership Transfer Agreement: The Seller will transfer all rights, title, and interest in the Domains to the Buyer Ownership will be transferred in accordance with standard domain transfer procedures Any associated goodwill linked to the Domains will be included in the transfer 8. No Warranties The Domains are sold “as-is” and “as available” without any warranties or guarantees, express or implied. The Seller makes no representations regarding: Traffic, search rankings, or performance Future value or profitability Legal or trademark status 9. Limitation of Liability To the fullest extent permitted by law: The Seller shall not be liable for any direct, indirect, incidental, or consequential damages The Seller shall not be liable for any loss arising from the use of, or inability to acquire, the Domains The Seller shall not be liable for delays or issues related to third-party services, including escrow providers 10. Governing Law These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario. 11. Confidentiality and Privacy All offer submissions and related communications will be treated as confidential. Personal and business information provided by the Buyer will only be used for communication related to the offer and potential transaction Information will not be sold or shared with third parties, except as required to complete the transaction (e.g., escrow services) The Seller will take reasonable steps to protect submitted information 12. Entire Agreement These Terms constitute the entire agreement governing the submission of offers for the Domains and supersede any prior discussions, communications, or representations. 13. Changes to Terms The Seller reserves the right to update or modify these Terms at any time without prior notice. 14. Additional Note This opportunity represents access to category-defining domains in the appliance space. Serious inquiries are encouraged. 15.
